Terms of Service

1. Agreement scope

These Terms of Service govern your access to and use of MumuWorks, including its websites, tenant applications, AI assistants, workflow tools, WhatsApp features, knowledge base functions, support channels, and subscription services. By using MumuWorks, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

2. Eligibility and account terms

• You must be at least 18 years old and legally able to enter into a binding agreement.
• You are responsible for account credentials, administrator actions, user access assignments, and activity performed through your account.
• You must provide accurate registration, billing, and business information and keep it current.
• You must promptly notify MumuWorks of suspected unauthorized access, credential compromise, or security incidents affecting your tenant.

3. Subscription terms

MumuWorks may offer monthly subscriptions, annual subscriptions, usage-based billing, prepaid or postpaid credits, and feature-based pricing. Specific plan limits, included modules, billing frequencies, and usage allowances are described on the applicable order form, pricing page, or in-product billing interface.

• Subscriptions renew automatically at the end of each billing cycle unless canceled before renewal.
• Monthly and annual plans renew for successive monthly or annual terms, respectively.
• Usage-based fees may be billed in arrears based on AI, messaging, storage, or other measured consumption.
• Plan changes may take effect immediately or at the next renewal date, depending on the plan and feature involved.

4. Payment terms

• Fees are due on the billing date stated in your subscription or invoice.
• You authorize MumuWorks and its payment providers to charge the payment method associated with your account for recurring and variable fees that you incur.
• Failed, reversed, disputed, or overdue payments may result in retries, late-payment handling, service restrictions, suspension, or termination.
• Taxes, duties, levies, and bank charges are your responsibility unless the law requires otherwise.

5. Customer data and intellectual property

MumuWorks and its licensors retain all rights, title, and interest in the platform, software, interfaces, design, documentation, and related intellectual property. Customers retain ownership of their uploaded content, conversation data, customer records, prompts, business rules, and other materials they submit to the service.

You grant MumuWorks the limited rights necessary to host, copy, transmit, transform, analyze, and process your content solely to provide, secure, support, and improve the service. If you provide feedback, suggestions, or enhancement requests, you grant MumuWorks a non-exclusive, worldwide, royalty-free license to use that feedback without restriction.

6. Acceptable conduct and prohibited activities

You may not use MumuWorks to violate law, abuse third parties, compromise security, or misuse AI and automation features. Prohibited conduct includes:

• Sending spam, phishing content, fraudulent messages, or deceptive marketing communications.
• Uploading unlawful content or content that infringes intellectual property, privacy, or publicity rights.
• Reverse engineering, probing, scanning, or attacking the service, APIs, infrastructure, or tenant data boundaries.
• Using the platform to distribute malware, malicious code, or instructions for unauthorized access.
• Abusing AI systems to generate harmful, illegal, or misleading content or to circumvent platform safeguards and limits.

7. Third-party services and AI output

MumuWorks integrates with third-party providers, including AI, messaging, storage, analytics, and payment providers. Your use of connected services may also be subject to those providers' terms. AI outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your use case. You remain responsible for reviewing AI output and for any action taken on the basis of it.

8. Service availability

MumuWorks works to maintain reliable service, but does not guarantee uninterrupted availability, error-free operation, real-time delivery, or that every feature will be available at all times. Planned maintenance, security work, vendor outages, infrastructure events, internet interruptions, or customer configuration errors may affect performance. Unless we enter into a separate written service level agreement, no uptime service level applies.

9. Suspension and termination

You may stop using the service and cancel subscriptions according to the applicable billing terms. MumuWorks may suspend or terminate access if you breach these Terms, fail to pay fees, create legal or security risk, misuse AI or messaging features, or if continued service becomes impracticable or unlawful.

Upon termination, your right to access the service ends, but provisions relating to payment obligations, data handling, disclaimers, liability limitations, intellectual property, indemnification, and dispute resolution survive.

10. Indemnification

You will defend, indemnify, and hold harmless MumuWorks, its affiliates, officers, employees, and contractors from third-party claims, damages, liabilities, losses, costs, and expenses arising out of your content, your use of the service, your connected channels, your breach of these Terms, or your violation of law or third-party rights.

11. Disclaimers and limitation of liability

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MumuWorks disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. MumuWorks is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity.

To the maximum extent permitted by law, MumuWorks' aggregate liability arising out of or relating to the service will not exceed the amounts paid by you to MumuWorks for the affected service during the 12 months preceding the event giving rise to the claim.

12. Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith before starting formal proceedings.
